Tata Sons Listing, Leadership Shift May Reshape Group Financial Strategy: S&P
· Free Press Journal

New Delhi: A potential listing of Tata Sons and changes in the Tata group's leadership are unlikely to immediately affect ratings of group companies, but could influence financial policy and group support over the longer term, S&P Global Ratings said.
No Immediate Ratings Impact
S&P said changes in the group's financial policies would likely unfold gradually, given Tata's long operating history and relatively conservative management approach.

The ratings agency said a potential Tata Sons listing and leadership transition would therefore have no immediate impact on ratings of Tata group entities. Its report does not constitute a rating action.
S&P currently rates Tata Steel, Tata Motors, Tata Motors Passenger Vehicles, Tata Power, Tata Power Renewable Energy, Tata Capital and Jaguar Land Rover Automotive.
These companies are considered strategically important to Tata Sons, resulting in up to three notches of group support.
Growth Plans In Focus
However, changes in leadership, group structure or stakeholder priorities could eventually influence S&P's assessment of Tata's strategy, financial policies and willingness to support group companies.

S&P said the credit profiles of rated Tata companies have strengthened in recent years, partly supported by the group's conservative financial policy.
Listing Brings Scrutiny
Tata Sons faces a listing requirement after the Reserve Bank of India rejected its attempt to deregister as an upper-layer non-banking financial company.
S&P said a routine listing under the existing structure would be credit neutral.

This could increase emphasis on returns, leverage, shareholder distributions and capital discipline.
Leadership Question Emerges
The listing debate comes alongside disagreements over leadership and governance at the group.
S&P cautioned that any structural change that makes Tata Sons controlling role less clear, or weakens its credit profile, could eventually affect its assessment of group support and consequently ratings uplift available to individual Tata companies.
